Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of Payana, the managed vision intelligence service operated by Baaz - ATIIAD Technologies Pvt Ltd (“Payana”, “we”, “us”), including payana.ai. By using the service you agree to these Terms.

1. The service

Payana provides managed data annotation and dataset delivery: we annotate the images, video, or footage you provide (or that we capture for you), review the results, and deliver versioned, training-ready datasets in agreed formats. Specific scope, formats, volumes, and timelines are set out in the order or statement of work agreed with you.

2. Accounts and eligibility

You must provide accurate information, keep your credentials secure, and be authorized to act on behalf of your organization. You are responsible for activity under your account. The service is intended for business use.

3. Your content and ownership of deliverables

You retain all rights to the content you provide. As between the parties, you own the annotations and datasets we deliver to you. You grant us a limited license to store and process your content solely to provide the service. We do not use your content to train third-party or general-purpose models, and we do not place it in shared dataset pools. You represent that you have the rights and permissions necessary to provide your content for annotation.

4. Acceptable use

You agree not to use the service to:

• upload content you do not have the right to use;
• violate any applicable law or third-party rights;
• attempt to disrupt, reverse-engineer, or gain unauthorized access to the service; or
• submit unlawful, infringing, or harmful material.

5. Fees and payment

Fees are quoted per engagement based on your scope and are set out in the applicable order or statement of work. Unless stated otherwise, fees are exclusive of taxes and payable within 30 days of the invoice date.

6. Confidentiality

Each party will protect the other's confidential information - including your content and our non-public materials - and use it only to perform under these Terms.

7. Warranties and disclaimers

We provide the service with reasonable skill and care. Except as expressly stated, the service is provided “as is” without warranties of any kind, whether express or implied, including fitness for a particular purpose. We do not warrant that annotations will be error-free for every use case; human review reduces but does not eliminate the possibility of errors.

8. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, or consequential damages, and our total liability arising out of or relating to the service will not exceed the fees you paid for the engagement giving rise to the claim.

9. Term and termination

Either party may terminate an engagement as set out in the applicable order, or for material breach that remains uncured after notice. On termination we will, at your request, return or delete your content subject to the retention terms in our Privacy Policy.

10. Governing law

These Terms are governed by the laws of India, and the courts of Bangalore, India have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the service.

11. Changes

We may update these Terms from time to time. Material changes will be reflected by updating the “Last updated” date above; your continued use constitutes acceptance of the updated Terms.
